Terms of Service

These Terms of Service ("Terms") govern the use of this website and the marketing services provided by RCL Asia LLC, a limited liability company registered in the State of New Mexico, United States, Entity ID 0008074686, with its registered office at 1209 Mountain Road Pl NE, Ste N, Albuquerque, NM 87110 ("RCL Asia", "we", "us").

By using this website or engaging our services, you agree to these Terms. If you do not agree, please do not use the website or our services.

1Who we serve

Our services are offered to businesses and professionals acting in a commercial capacity. They are not offered to consumers acting for personal purposes. You confirm that you are at least 18 years old and have authority to enter into an agreement on behalf of the entity you represent.

2Services

RCL Asia provides marketing and advertising services, which may include paid media planning and management, social media management and content production, e-commerce store creation and conversion optimisation, and brand identity and web design.

The exact scope, deliverables, timeline and fees for any engagement are defined in a separate written proposal, quote or service agreement signed by both parties (the "Agreement"). Nothing on this website constitutes an offer or a commitment to deliver a particular result. Where these Terms conflict with a signed Agreement, the Agreement prevails.

To deliver our services we depend on the client. The client agrees to:

Delays caused by missing information, access or approvals are not the responsibility of RCL Asia and may extend agreed timelines.

5No guarantee of results

Marketing results depend on many factors outside our control, including the product itself, market conditions, competition, pricing, and the policies and algorithms of third-party platforms. RCL Asia does not guarantee any specific level of revenue, return on ad spend, ranking, reach, engagement or conversion. Any figure, projection or benchmark discussed is an estimate, not a promise.

6Third-party platforms

Our services rely on third-party platforms such as Meta, Google, TikTok, Shopify and their equivalents. These platforms may change their policies, pricing, features or algorithms, and may restrict, suspend or ban accounts at their sole discretion. RCL Asia is not responsible for the acts or omissions of these platforms, including account suspensions, ad rejections, data loss or service outages, and is not liable for any resulting loss.

7Intellectual property

Upon full payment of all sums due, the client receives ownership of the final deliverables produced specifically for the client under the Agreement. RCL Asia retains ownership of its pre-existing materials, tools, templates, frameworks and know-how, and grants the client a non-exclusive licence to use them to the extent they are embedded in the deliverables. Third-party assets such as fonts, stock media and software remain subject to their own licences.

Unless the client objects in writing, RCL Asia may reference the engagement and display non-confidential deliverables in its portfolio and marketing materials.

8Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other in the course of the engagement, to use it only for the purposes of the engagement, and to protect it with at least reasonable care. This obligation continues for three (3) years after the engagement ends and does not apply to information that is public, independently developed, or required to be disclosed by law.

9Term and termination

Retainer engagements run monthly unless stated otherwise in the Agreement, and may be terminated by either party on thirty (30) days' written notice. Either party may terminate immediately if the other commits a material breach that remains uncured fifteen (15) days after written notice. On termination, the client pays for all services performed and costs committed up to the effective date, and RCL Asia hands back access and delivers work completed to date.

10Limitation of liability

To the maximum extent permitted by law, RCL Asia is not liable for indirect, incidental, special, consequential or punitive damages, nor for loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to the services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, the total aggregate liability of RCL Asia arising out of or relating to the services is limited to the total fees paid by the client to RCL Asia for the services in the three (3) months preceding the event giving rise to the claim. Advertising spend passed through to platforms is not treated as fees for this purpose.

Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot lawfully be excluded.

11Indemnity

The client agrees to indemnify and hold harmless RCL Asia against claims, damages and reasonable costs arising from the client's products or services, from material supplied by the client, from claims the client asked us to publish, or from the client's breach of these Terms or of applicable law or platform policies.

12Website use

You may not use this website in any unlawful way, attempt to gain unauthorised access to it, interfere with its operation, or scrape or copy its content for commercial purposes without permission. The website is provided "as is" and we do not warrant uninterrupted or error-free availability.

13Changes to these Terms

We may update these Terms from time to time. The version published on this page with the date shown above is the version in force. Material changes affecting an ongoing engagement will be communicated to the client in writing.

14Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict of law rules. The parties will first attempt to resolve any dispute in good faith through discussion. Failing resolution, the courts located in the State of New Mexico have exclusive jurisdiction, unless the signed Agreement provides otherwise.

15General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. A failure to enforce a right is not a waiver of it. Neither party may assign the Agreement without the other's written consent, except to a successor in connection with a merger or sale of substantially all assets. RCL Asia acts as an independent contractor; nothing creates a partnership, joint venture or employment relationship.
